Terms and Conditions of Use and Purchase of the Verbena website

These Terms and Conditions of Use and Purchase (“Terms”) are intended to regulate the use and access, as well as all purchases made on the Verbena Flores website (“Site” or “Website”), owned by VERBENA COMÉRCIO DE PLANTAS E FLORES LTDA, headquartered at Rua Aristeu Seixas, nº 274 – Morumbi, São Paulo – SP, CEP 05613-040, registered with the CNPJ under nº 14.141.179/0001-01 (“ Verbena ”).

We suggest that before continuing to use the Site, you carefully read these Terms and our Privacy Policy .

If there is a violation of these Terms, Verbena reserves the right to block your future access to the Site or to take other measures it deems appropriate.

These Terms are applicable to browsing the Site via desktop, smartphones and/or other mobile devices.

This Site is offered and available only to users 16 years of age and older. If you are not yet 16 years of age, please ensure that your parent or legal guardian has read and discussed these Terms with you.

If you disagree with any of our policies, we suggest that you stop accessing the Site.

When placing a purchase order, you (“Customer”) will certify acceptance of these Terms which, together with the purchase order (“Order”), constitute the entire agreement between Verbena and the Customer, for the purchase of the products offered. ("Contract").

1. ABOUT THE WEBSITE

Verbena is a reference company in the luxury flower market aligned with a modern and sophisticated point of view.

The website https://verbenaflores.com.br aims to sell unique and personalized arrangements, according to your taste and preference, and other products advertised on the Website.

2. REGISTRATION

To make any purchase, the Customer must register personally on the Website, accessible through a personal, non-transferable login and password.

The Customer is responsible for their password and Verbena will not be responsible for any unauthorized access to the Customer's Account.

3. OF THE ORDER

When browsing the Website, the Customer can click on the desired product to access its description and delivery times. If you choose to proceed with the purchase, you must select the quantity of the desired product and click “add to cart”. On this occasion, other product options will appear to add to the cart and the Customer will be able to select some of them by clicking on “add” and “continue”; or reject any addition of a new product by clicking “No thanks”.

The Customer will then be redirected to a page with a summary of the order, with the option to insert a gift card where they can indicate a sender and recipient and a message. On this same screen, the Customer can choose to collect the product from Verbena 's atelier (choosing a date to do so); or receive home delivery. In the latter case, there will be a field to enter the destination's zip code and a date must be selected. Once the option has been made, the Customer must select “Finalize Order”.

On the next page, the Customer must enter their address details to carry out delivery and calculate shipping, whether or not they can log in to their account. On this same page, you will also have access to information about the products purchased and their respective values. Afterwards, you will be redirected to the page where you will select the payment method and enter your CPF.

In the final step, the Customer must enter their payment details and then click on “complete payment”. After confirming the purchase, the Customer will receive a confirmation by email as soon as their order is approved, and when their order is delivered.

Remembering that flowers are natural products, and because of this, small variations may occur in the product in the image available on the Website in relation to the product delivered.

If there is a shipping cost to deliver the product, the discrimination will be included in the price of the product.

Verbena accepts all credit cards and payment methods via Paypal. Payments by cash or check are not accepted. Through our newsletter and promotions, you may receive discount coupons, which can be used during checkout.

4. DELIVERY

Verbena delivers throughout the city of São Paulo and its surroundings.

The delivery location will be the address indicated in the order confirmation.

Orders placed from Monday to Friday, before 1 pm, will be delivered on the same day. Orders placed after this time will be delivered the next day.

For deliveries on Saturdays and Sundays, orders placed until 3pm on Friday will be accepted.

Deliveries are made during business hours, from 9am to 7pm.

The Customer is responsible for any losses and damages caused by the unjustified refusal to deliver the order.

In commercial locations or condominiums with a concierge, delivery may be made to third parties (conciers, doormen, receptionists, etc.).

In the event of impossibility of delivery resulting from: change of address, refusal or incorrect indication of registration data, the Order will be returned to Verbena , in which case there will be a new shipping charge for resending the Order.

In the event of an incident resulting from unforeseen circumstances or force majeure, there may be a delay in the delivery time of the order. If delivery of the Order is not possible, Verbena will contact the Customer to negotiate a possible cancellation of the purchase.

5. RETURNS AND REFUNDS

It is solely up to the Customer to immediately examine the order after delivery.

If the Order purchased on the Website presents any defect or damage, the Customer may request a return or exchange through the following means of communication:

Considering that these are perishable products, the Customer will have a period of (2) calendar hours, from receipt of the order, to inform the existence of the defect and request an exchange or return.

After the period indicated above has passed, the order will be considered accepted by the Customer.

Returns of Orders paid by credit card will be made through a refund, to be requested from the administrator of the card used for the purchase.

Remembering that the deadline for effecting the refund is carried out in accordance with the rules and conditions of the card administrator, and is your sole responsibility.

6. INTELLECTUAL PROPERTY

When browsing the Site, you agree that the logos, brands, emblems, images, videos, descriptions, texts, layout, symbols, distinctive signs, audios, photographs, illustrations, audio and video material, art, graphic material, and any other materials and elements related to the Site constitute, as the case may be, copyrights, business secrets, and/or intellectual property rights of Verbena , and such rights are protected by national and international legislation applicable to intellectual and copyright property, especially with regard to Laws No. 9,279/96, 9,609/98 and 9,610/98, among others.

The rights listed above cannot be used, reproduced, copied, sold, distributed, in whole or in part, without the due authorization of Verbena .

The use of data mining software on the Website, of any type or kind, in addition to any other software not specified here that acts in a similar way, is prohibited.

Access to the Website's programming areas, its database, source codes or any other set of data available in these environments is prohibited, as well as carrying out or allowing reverse engineering, translating, decompiling, copying, modifying, reproducing, renting, sublicensing, publish, disseminate, transmit, lend, distribute or otherwise inappropriately dispose of the website's functionalities.

7. LIMITATION OF LIABILITY FOR THE OPERATION OF THE SITE

Verbena does not guarantee that the Site will be available uninterruptedly or error-free and cannot, therefore, be held responsible for any interruption in the functioning of the Site, for whatever reason.

Verbena may change the possibility of your access and use of the Site at any time and at our discretion, without the need for prior communication or notice to you or any third party.

The Site and its features are presented to you as available, but may undergo constant improvements and updates without the need for prior notice.

We are not responsible for:

• Any problems, bugs, or improper functioning that occur in the devices and equipment used to access the Site;

• For any direct or indirect damage caused by third party events, for example, but not limited to, hacker attacks, system, server or internet connection failures;

• By browsing any external links available on the Website, it is your duty to read the Terms and Conditions of Use and the Privacy Policy of the resource accessed and act as determined.

8. CHANGES TO TERMS OF USE

These Terms may be modified by Verbena at any time, unilaterally. The modifications will automatically come into effect on the date of publication of the new version of the Terms on the Site and will replace the previous ones. It is the user's responsibility to check the Terms periodically. Your continued use of the Site after any changes to these Terms indicates your agreement to the revised provisions.

9. GENERAL CONDITIONS

Verbena reserves the right to terminate, suspend or interrupt unilaterally and at any time, without the need for prior notice, the availability, or the entire transformation and modification of the Website. If this occurs and requires updating the Terms, a new version of the Terms will be available on the Website.

If any clause, term or provision of these Terms is declared void, such nullity will not affect any other clauses, terms or provisions contained herein, which will remain in full force and effect.

These Terms will be governed and interpreted in accordance with the laws of the Federative Republic of Brazil and any disputes arising from the Terms that cannot be amicably resolved by the Parties must be submitted to the court of the District of the capital of the State of São Paulo.
